Event Terms of Participation

Registering for, attending, and or as a participant at an Insurance Supermarket International, Inc. or any of its subsidiary or affiliate (collectively “ISI”) virtual event or live (in-person) event (the “Event”), you (the “Participant”) agree to these terms and conditions (the “Terms of Participation”), to our Privacy Policy, and to our Terms of Use (these Terms of Participation, the Privacy Policy, and the Terms of Use, together, are the “Agreements”).  If you are completing Event registration or creating an account of profile on behalf of another individual and/or entity, (i) you have the authority to register and/or substitute your registration to that other individual or entity; and (ii) you warrant that you have delivered to the Participant copies of the Agreements and that the individual or entity has reviewed and accepted the terms thereof.

We reserve the right to change these Terms of Participation and any other information contained on ISI’s website, (the “Website”) at any time, and the revision date above provides you with notice of when the Terms of Participation has been updated. Your continued use of the Website or attendance at an Event after such changes constitutes your acceptance of and agreement to these changes. If you do not agree to these terms, please do not use our Website or create a profile.

In addition to these Terms of Participation, please also review our Privacy Policy and Terms of Use, available on our Website and incorporated herein by reference.

 

 

Access and Admission

Your registration entitles you to access to virtual or in-person participation in only those specified Events for which you have registered.  Paid registration may be transferred to another person at any time prior to check-in for the Event. However, your login username, password, and other registration information cannot be shared, transferred or reissued to a different person.  Only a single individual can be associated with a single registration.

For in-person Events, your registration entitles admission to the Event for you only. All other costs associated with your attendance (e.g., travel and accommodation expenses) shall be borne by you as the attendee. You may be asked to present a form of photo identification at the time of check-in to receive your attendee badge. Once you receive your badge at the Event, it cannot be changed, substituted, or reissued to a different person. Attendee badges must be worn at all times in Event areas to identify you as an Event attendee. As a condition of admission, attendees of in-person Events also must comply with all on-site policies and procedures.

Participant Information

By registering for our Events, you grant ISI the right to contact you using the name, company name, title, phone number, email, and mailing address that you provided during your registration. ISI may use your personal information for the purpose of processing your registration and providing services in relation to the Event, including: managing Event access, dining, and administration (including before, after and during the Event); invoicing and payment processing; communicating with you about the Event; receiving any Event feedback; conducting quality checks; and/or authenticating Participant identity. Your personal information may be used outside of your country of residence, including in countries which may have data protection rules that are different from those of your country. 

ISI may disclose your personal information to ISI’s service providers, including the Event venue and/or payment processing services, and any entities within the ISI group of companies (including any entities that control, are controlled by, or under common control with ISI) for the purpose of managing your registration, payment (which might involve payment processing services), attendance to the Event, and/or to administer the Event (“Third-Party Service Providers”). You expressly consent to ISI disclosing your personal information to Third-Party Service Providers for the purposes set forth in this Section. You understand that you may be subject to such Third-Party Service Providers’ own terms and conditions and agree to comply with such third-party terms. 

ISI will also contact you about other events or programs in which you might be interested and will also add you to our mailing list to receive our newsletters and other communications regarding our services and events.  You may update your preferences or opt out of receiving any newsletters, updates, or emails from us by clicking “unsubscribe” at the bottom of each email and following the subsequent instructions.

In the event you are registering for the Event on behalf of other individuals, you represent that you have sufficient authorization and have otherwise complied with applicable laws for the disclosure of any personal information to ISI.

Use of Likeness

By participating in an Event, you grant ISI the right, and acknowledge that ISI may grant to third parties the right to create, record, produce, use, reproduce, modify, distribute, publish, perform, display, republish, create derivative works of, download, store, and transmit images and recordings in which your name, identity, biographical information, voice, likeness, photograph, image and persona, and any statement or comment made of which you are an author, whether or not written or otherwise recorded, or portion thereof (collectively, the “Materials”), appears or is captured, in whole or in part, in any form or media, whether now known or hereafter developed, including without limitation print media, any and all forms of social media, and internet broadcast and display, at its sole discretion, without restriction as to changes or alterations.  You understand that the Materials may be modified or edited before use or may not be used at all.

You authorize ISI to use your name, picture, and excerpts from the Materials for promotional purposes consistent with our Events.  You hereby forever release and agree to hold harmless ISI from and against any and all claims arising from the use of the Materials as described in these Terms of Participation.  You waive all rights to royalties or any other compensation for the use of the Material by ISI and understand that ISI will have sole authority overuse of the Materials without seeking further approval from you or providing you with compensation.

Event Changes

ISI, in its sole discretion, reserves the right to change any and all aspects of any Event or information otherwise, including but not limited to, the names, themes, content, program, speakers, moderators, schedules, and format of any Event, video, audio recording, or article, at any time. ISI disclaims any liability for any costs, damages, lost opportunity, and/or claims in connection with any Event change.

 

If the Event is hindered, delayed and/or prevented, because of circumstances beyond ISI’s reasonable control, including any act of God, war, political unrest, government order, labour dispute, epidemic and/or pandemic, natural disaster, and/or the non-availability of the Event venue, ISI will not be liable to you or the organization you represent in any way for any Event changes, including any suspension, postponement, cancelation, and/or abandonment of the Event.

Username and Password

By registering for any Event, you agree not to share, transfer, sell, or trade your username and password.  Should you violate this policy, ISI may cancel your Participant registration without refund of registration fees.

Prohibited Conduct Policy

ISI is committed to providing a safe and welcoming environment for all who participate in an Event, whether virtual, or in-person. ISI prohibits and will not tolerate any form of harassment, bullying, or discrimination. Together, we can ensure that Events support free expression and exchange of ideas in environments that are positive and productive for all.

The following behaviors are expected and requested of all Event participants:

  • Behaving in a courteous and professional manner.
  • Being considerate, respectful, and collaborative in your communication and actions.
  • Discussing differences and critiquing ideas in a non-confrontational manner.
  • Reporting suspected inappropriate behaviors directed at yourself or others.
  • Respecting the rules, policies, and property of ISI and its contracted Event facilities and vendors.
  • Complying with all applicable laws and regulations.

Prohibited conduct includes but are not limited to the following:

  • Harassment, including unwelcome or offensive verbal, visual, or physical contact directed at any person at an Event (whether or not a participant), including conduct, comments, or images that a person would reasonably find offensive, demeaning, or hostile.
  • Sexual harassment, including unwelcome, unsolicited, and unreciprocated sexual advances, requests for sexual favors, and other verbal or physical conduct or gesture of a sexual nature that has or that might reasonably be expected or be perceived to offend, humiliate, or intimidate another person.
  • Discriminatory conduct based on race, sex, sexual orientation, gender expression or identity, transgender status, age, national origin, disability, religion, marital status, veteran status, political affinity, or any other characteristic protected by law.
  • Deliberate intimidation, threatening, stalking, or following.
  • Invasion of privacy.
  • Exhibiting behavior that is unruly or disruptive, or that endangers the health or safety of yourself or others.
  • Actual or threatened physical force whatsoever against any person.
  • Possession of a weapon, or use of any item in a way that may cause danger to others.
  • Destruction, theft, abuse, or intentional misuse of ISI or an Event contracted venue’s or service provider’s property, equipment, or supplies.
  • Failure to comply with directions of Event staff or venue or service provider personnel regarding Event operations or emergency response procedures.
  • Retaliation against participants for reporting activity that he or she reasonably believed to be in violation of these Terms of Participation.
  • Knowingly and falsely reporting violations of this policy in bad faith.

This list is not intended to be all inclusive, and it is likely there will be conduct issues that it does not specifically address. In all circumstances, Participants are expected to follow the direction of Event staff who will take appropriate action to ensure the safety, security and well-being of Event participants, staff, venue and service provider personnel, and the general public. Event Participants asked to stop engaging in prohibited conduct must comply immediately.

ISI, in its sole discretion, will determine the nature of the participant conduct that warrants corrective action as well as the corrective action to be taken. Corrective action may include any of the following forms: verbal warning; expulsion from the Event; expulsion from the Event with no refund of registration fees; barring from future ISI Events; and/or notifying appropriate authorities. The decision(s) of ISI are final.

Personal Belongings

You shall not enter or bring to the Event any personal belongings or other items that are prohibited by law, inappropriate, and/or that could cause harm and/or disruption to the Event, individuals at the Event, and/or the Event venue (“Prohibited Items”). ISI reserves the right to immediately remove and revoke your future access to the Event for the use, display, and/or solicitation of Prohibited Items.

 

You are responsible and liable for your personal belongings, and/or any items you bring to the Event, including the security and safekeeping of such items. ISI disclaims any liability for any lost, stolen and/or misplaced personal belongings, and/or items, and/or in connection with any Prohibited Items.

Cancellation Policy and Fees

Participation and use fees are subject to ISI’s cancellation policy. Attendee registration for virtual Events that are free of charge are not subject to cancellation or a refund. Paid Virtual and In-person Events are eligible for a full refund less a $50.00 administrative fee up to 60 days prior to the Event date. No refunds will be granted after that date. Substitutions for virtual, or in-person Events are acceptable at any time. All cancellation or substitution of attendee requests must be made in writing to ([email protected]). ISI reserves the right to cancel or reschedule any Event at any time and will issue a full refund of registration fees for a cancelled Event, or upon request for any rescheduled Event, but shall not be liable for any personal or travel expenses arising from such cancellation or rescheduling.

Fee adjustments and discounts cannot be retroactively applied.  All applicable participation and use fees are due at the time of registration.  Participant fees may be subject to sales tax, value added tax, or other taxes and duties, which, if applicable, will be charged to you in addition to participation and use fees at the time of registration.  All determinations of applicability of special rates or discounts is in the sole discretion of ISI.

 

 

Intellectual Property

All intellectual property rights in and to all Events, Event content, and all materials distributed in connection with any Event are owned by ISI or the sponsors or speakers presenting such content.  You may not, and may not allow anyone else to, use or reproduce any trademarks or other trade names appearing in any materials distributed at or in connection with any Event, or use, reproduce, modify, distribute, publish, perform, display, republish, create derivative works of, download, store, or transmit any of the Event material or content for any reason without the prior written permission of ISI or the applicable sponsors or speakers.  You may not record audio or video of any Event content, without prior written consent.

Limitation of Liability

To the fullest extent permitted by applicable law, in no event will ISI, its officers, directors, employees or agents, or any third party speaker or sponsor, be liable to you for any direct, indirect, incidental, consequential, special, exemplary or punitive damages of any type whatsoever related to or arising out of or from any Event, or these Terms of Participation, even if ISI is expressly advised of the possibility of such damages.  This exclusion and waiver of liability applies to all causes of action, whether based on contract, warranty, tort, or any other legal theories. ISI’s maximum aggregate liability in connection with the Event and/or the Agreement, whether in contract, tort, or otherwise (including any negligent act or omission), is limited to the amount you paid ISI to attend the Event.

Disclaimer of Warranties

ISI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. TO THE FULLEST EXTENT PERMITTED BY LAW, ALL EVENTS, CONTENT, MATERIALS, INFORMATION, PRODUCTS, PROGRAMS, AND SERVICES OFFERED IN CONNECTION WITH ANY EVENT ARE PROVIDED “AS IS,” WITH NO WARRANTIES OR GUARANTEES WHATSOEVER.

Acknowledgements, Waiver, and Release

You acknowledge that these Terms of Participation will be relied upon by the Event holders, content creators, sponsors, and organizers of the Events, and that these Terms of Participation will govern your actions and responsibilities at said Events.

For in-person Events, you hereby acknowledge and assume the risk of participating in any/all activities associated with the Event, including by way of example and not limitation, any risks that may arise from the negligence or carelessness on the part of other attendees or on the part of the persons or entities being released. Your attendance also certifies that you are physically fit for participation in the Event, and you have not been advised against participation by a qualified medical professional; and further certifies that there are no health-related reasons or problems which preclude your participation in the Event.

In consideration for ISI’s approving the application and permitting attendee to participate in any applicable Event, you hereby for yourself, and your executors, administrators, heirs, next of kin, successors, and assigns:

(A) WAIVE, RELEASE, AND DISCHARGE the following named entities and individuals from any and all liability (including for attorney fees and costs) for but not limited to liability arising from the negligence or fault of the entities or persons released, for his/her death, disability, personal injury, property damage, property theft, or actions, damages, or injuries of any kind which may hereafter occur to him/her during participation in this activity: ISI and/or its directors, officers, employees, volunteers, representatives, and agents, and the activity holders, speakers, sponsors, and volunteers;

YOU ACKNOWLEDGE THAT YOU ARE VOLUNTARILY PARTICIPATING IN THE EVENT WITH KNOWLEDGE OF THE DANGERS INVOLVED. YOU HEREBY AGREE TO ACCEPT AND ASSUME ALL RISKS OF INJURY, ILLNESS, DISABILITY, DEATH, AND/OR PROPERTY DAMAGE ARISING FROM THE EVENT, WHETHER CAUSED BY THE ORDINARY NEGLIGENCE OF ISI OR OTHERWISE;

and

(B) INDEMNIFY, HOLD HARMLESS, AND PROMISE NOT TO SUE the entities or persons mentioned in (A) above for any liabilities or claims made which relate in any way to use of the registration platform and/or participation in any Event, whether or not caused by the negligence of the released individuals or entities.

Attendee acknowledges that ISI and its directors, officers, employees, volunteers, representatives, and agents are NOT responsible for any errors, omissions, acts, or failure to act of any party or entity conducting a specific activity or presenting any content on behalf of ISI.

Disclosure of Sensitive Information Required by Activities

Participant understands that some participation in or access to some activities and content may involve a request for sensitive information including, but not limited to, Participant’s social security number, passport number, date of birth, mailing address, and phone number.  Participants acknowledge that there is an inherent risk in supplying such information and that their compliance with these requests is entirely voluntary.

Event Website and App

ISI may publish a website, create a portal, and/or make available a downloadable mobile application (“Event App”) which might contain information and/or other details about the Event (collectively, “Event Portal”). The Event Portal is made available “AS IS”, without any representations or warranties that the Event Portal, including any components, features, content and/or materials made available on it will be error free, up to date, available, accurate, and/or complete.

The Event Portal is provided for convenience and/or for information purposes only and your use or access of it is voluntary. By using or accessing the Event Portal and/or any of its features or applications, you are doing so at your own risk, and ISI expressly disclaims any liability or damages in connection with your use and/or reliance on any features, functionality, content, materials, applications, and/or information contained in and/or made availability through the Event Portal.

Event Media

ISI may capture images, photographs, videos, recordings, and/or other forms of media in connection with the Event (“Media”). ISI reserves the right to use the Media for marketing activities in any form or medium of distribution or publication, including on ISI websites, social media platforms and/or any marketing content to promote the Event and/or other ISI products and/or services. At all times, ISI will retain all rights, title, and interest in and to any Media, including any content and/or materials which incorporates any Media. You are strictly prohibited from and shall not be involved in collecting, capturing, producing and/or sharing any media (including taking any photographs, videos, or other recordings) at or related to the Event without ISI’s prior written approval.

By registering for and attending the Event, you grant ISI an irrevocable, royalty free, worldwide and unencumbered right to use, publish, reproduce, modify, and/or distribute any Media which contains your image, likeness, or otherwise relates to you, without compensation or further notification. You agree that you will not have and shall not pursue any claim to have any right, title, and/or interest in or to any Media including any content ISI produces that incorporates any Media.

Miscellaneous

These Terms of Participation and the other Agreements represent the entire agreement between you and ISI with respect to your participation in any applicable Event, and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written between you and ISI with respect to the Event.  Any rights not expressly granted herein are reserved.  The failure to require performance of any provision of these Terms of Participation shall not affect ISI’s right to require performance at any time thereafter, nor shall a waiver of any breach or default of these Terms of Participation constitute a waiver of any prior or subsequent breach or default.  If any provision of these Terms of Participation is held unenforceable, then such provision will be modified to reflect the parties’ intention, and the remaining provisions of these Terms of Participation will remain in full force and effect.  No agency, partnership, joint venture, employee-employer or franchisor-franchisee relationship is intended or created by these Terms of Participation.

Governing Law and Choice of Forum

These Terms of Participation will be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without giving effect to any choice or conflict of law provision, principle, or rule (whether of the laws of the Province of Ontario or any other jurisdiction) and notwithstanding your domicile, residence, or physical location. 

Any action or proceeding arising out of or relating to these Terms of Participation will be instituted in the courts of the Province of Ontario and/or the Federal Court of Canada, and each party irrevocably submits to the exclusive jurisdiction of such courts in any such action or proceeding. You waive any and all objections to the exercise of jurisdiction over you by such courts and to the venue of such courts.
